Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Keystone’s websites, apps, and services (the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you agree on its behalf.

1. What Keystone is

Keystone provides software for collecting rent, signing leases, and managing rental income. Keystone is a technology provider, not a bank, lender, insurer, or consumer reporting agency. Money movement and credit reporting are performed by licensed partners, and their terms also apply to those features.

2. Eligibility & accounts

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your information, for activity under your account, and for keeping your credentials secure. Notify us promptly of any unauthorized use.

3. Payments & ACH authorization

When you authorize a one-time or recurring (autopay) debit, you authorize the licensed payments partner to initiate ACH or real-time transfers per the mandate shown to you. You may revoke autopay at any time, subject to processing already underway. Payouts settle to the recipient’s bank; Keystone does not hold customer funds. You are responsible for any returned-item, NSF, or reversal amounts and associated partner fees.

4. Rent protection

Rent protection is not currently offered. If we introduce it in the future, it would be provided through a licensed insurance partner under separate terms, and we will update these Terms before it becomes available.

5. Credit reporting

Credit reporting is optional and off by default. If a tenant opts in, on-time payment data may be furnished by a partner bureau acting as the furnisher of record under the FCRA. Tenants may turn reporting off at any time and pursue disputes through the partner’s process.

6. Electronic signatures & records

You consent to transact electronically and to receive records electronically under the ESIGN Act and applicable UETA. Electronically signed leases and disclosures are legally binding. You may request paper copies as described in the in-app E-Sign consent.

7. Fees

Fees are described at sign-up and in your plan. Pass-through partner fees are shown before they are charged. We may change fees with prior notice; continued use after the effective date constitutes acceptance.

8. Acceptable use

Do not use the Service unlawfully, to launder money, to infringe rights, to disrupt or probe the Service without authorization, or to upload malicious code. You are responsible for complying with the landlord-tenant, fair-housing, and consumer-finance laws that apply to you.

9. Your content

You retain ownership of the data and documents you provide. You grant Keystone the license needed to operate the Service. You represent that you have the rights to the information you upload, including any tenant information.

10. Termination

You may stop using the Service at any time; plans are month-to-month unless agreed otherwise. We may suspend or terminate access for breach, legal risk, or non-payment. On termination you may export your records; we retain data as required by law and our Privacy Policy.

11. Disclaimers

The Service is provided “as is.” To the extent permitted by law, Keystone disclaims implied warranties. Keystone does not provide legal, tax, accounting, or insurance advice.

12. Limitation of liability

To the extent permitted by law, Keystone is not liable for indirect, incidental, or consequential damages, and its aggregate liability is limited to the fees you paid to Keystone in the 12 months before the claim. Nothing limits liability that cannot be limited by law.

13. Indemnification

You agree to indemnify Keystone against claims arising from your misuse of the Service or violation of these Terms or of applicable law.

14. Governing law & disputes

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-laws rules. Venue and any dispute-resolution or arbitration terms are to be finalized with counsel before launch.

15. Changes

We may update these Terms; we will post the new date above and, for material changes, provide notice. Continued use after the effective date means you accept the updated Terms.
